UrProject Platform

Introduction
These Terms and Conditions govern your access to and use of the UrProject platform, including all related websites, applications, software, and services operated by UrProject Ltd (“UrProject”, “we”, “us”, or “our”).
UrProject is an operating system for construction access. It provides digital infrastructure that enables construction companies and the construction workforce to connect directly around structured project work. UrProject is not an employment agency, labour supplier, recruiter, payroll provider, or intermediary under IR35 or CIS regulations.
By registering, accessing, or using UrProject (including clicking “I Agree” or similar), you agree to be bound by these Terms and Conditions. If you are accessing on behalf of a company, you represent you have authority to bind that entity. We may update these Terms from time to time; continued use constitutes acceptance. Significant changes will be notified via email or in-app.
These Terms form a legally binding agreement between you and UrProject Ltd. If you do not agree to these Terms, you must not access or use the platform.
Platform Role and Scope
UrProject provides a technology platform only, facilitating direct connections without active matching or intervention.
We enable:
- Companies to structure projects, define roles, rates, and timeframes
- Workforce users to access project opportunities and manage availability
- Attendance verification, activity logging, and record-keeping
- Centralised project and labour records
UrProject does not:
- Employ workers
- Supply labour
- Act as an agent for either party
- Guarantee work, engagement, or income
- Control on-site working conditions or supervision
- Provide legal advice or assume responsibility for user compliance
UrProject's tools (e.g., for IR35 status logging) may be available for support only and do not constitute determinations. The platform is designed as a neutral facilitator, and all interactions, contracts, or agreements are solely between users.
Eligibility and Accounts
You must be at least 18 years old, have the legal right to work in the UK, and hold any required construction certifications (e.g., CSCS card) to use UrProject.
You are responsible for:
- Maintaining accurate account information, including right-to-work verification
- Safeguarding login credentials
- All activity conducted through your account, including by authorised sub-users (e.g., company admins)
UrProject reserves the right to suspend or terminate accounts that provide false information, misuse the platform, or breach these Terms, with reasonable notice where possible. We may require additional verification at any time to ensure compliance with UK laws.
Access and Availability
Access to UrProject may be limited, staged, or invitation-based during pre-launch phases. During pre-launch, access is invitation-based and may be revoked if it no longer aligns with testing goals, with notice provided where possible.
We do not guarantee uninterrupted availability and may modify, suspend, or discontinue features to improve performance, security, or compliance. Downtime due to force majeure events (e.g., strikes, natural disasters, supply chain disruption, pandemics, or extreme weather) is not liable. We strive to maintain high availability but are not responsible for any losses due to unavailability.
Workforce Verification and Records
UrProject may collect and display verification information such as:
- Identity checks
- Certifications and qualifications (e.g., CSCS, NVQ)
- Attendance records
- Ratings and work history
Verification does not constitute endorsement or guarantee of performance, suitability, or compliance.
Records generated through UrProject are user-input digital representations and do not replace legal, contractual, or statutory obligations. Users can request to export records via the platform (in standard formats like PDF or CSV, processed within 7 days where feasible). These records are provided as-is and may be used for audit purposes, but users must verify their accuracy.
Projects, Rates, and Engagement
Companies define project roles, rates, and terms within the platform, including any IR35/CIS considerations.
UrProject does not set rates, negotiate terms, or enforce payment. Any disputes relating to engagement, payment, performance, or termination must be resolved directly between the parties involved. UrProject may, at its discretion, provide optional mediation tools but is not obligated to intervene. Users are encouraged to document all agreements independently.
Compliance and Legal Responsibility
Users are solely responsible for ensuring compliance with all applicable laws, regulations, and standards. This includes, but is not limited to, the following detailed obligations:
- Employment Law Compliance. You must comply with all UK employment laws, including but not limited to the Employment Rights Act 1996, Working Time Regulations 1998, and National Minimum Wage Act 1998. For workforce users classified as employees or workers, this includes ensuring appropriate rest breaks, holiday entitlements, and protections against unfair dismissal. Companies must not misclassify workforce users to avoid employment obligations. UrProject does not determine employment status and disclaims any liability for misclassification claims.
- Tax Obligations. You are responsible for all tax-related matters, including self-assessment, PAYE, and National Insurance contributions under the Social Security Contributions and Benefits Act 1992. Workforce users must report income accurately to HMRC, and companies must withhold taxes where required. UrProject's tools (e.g., timesheet logs) may assist in record-keeping but do not fulfill tax filing requirements.
- IR35 and Off-Payroll Working Rules. Under the Income Tax (Earnings and Pensions) Act 2003 (as amended), companies must assess IR35 status for each engagement and provide a Status Determination Statement (SDS) to workforce users. Workforce users must challenge inaccurate SDS via HMRC processes. UrProject does not perform IR35 assessments, provide SDS, or act as an intermediary. Users must use independent tools like HMRC's Check Employment Status for Tax (CEST) and retain records for at least 6 years. Failure to comply may result in tax liabilities, penalties, or backdated payments, for which UrProject bears no responsibility.
- Construction Industry Scheme (CIS). Companies must register as contractors under the Finance Act 2004 and deduct CIS tax from payments to subcontractors unless they hold gross payment status. Workforce users must provide verified CIS details. UrProject does not handle CIS deductions, verifications, or returns to HMRC. Users must submit monthly CIS returns and retain records for 3 years post-contract. Non-compliance may lead to HMRC fines up to £3,000 per month.
- Health and Safety Requirements. Compliance with the Health and Safety at Work etc. Act 1974, Construction (Design and Management) Regulations 2015 (CDM), and related standards is mandatory. Companies must conduct risk assessments, provide PPE, and ensure safe working environments. Workforce users must report hazards and adhere to site-specific rules. UrProject does not oversee on-site safety and disclaims liability for accidents or breaches. Users must maintain incident logs and report serious incidents to the Health and Safety Executive (HSE).
- Right-to-Work and Immigration Compliance. Under the Immigration, Asylum and Nationality Act 2006, companies must verify workforce users' right to work in the UK before engagement, retaining copies of documents for at least 2 years post-engagement. Workforce users must provide valid proofs (e.g., passports, visas). UrProject may facilitate document uploads but does not verify authenticity. Non-compliance may result in civil penalties up to £20,000 per illegal worker.
- Anti-Modern Slavery Laws. In accordance with the Modern Slavery Act 2015, companies with turnover over £36 million must publish annual slavery and human trafficking statements. All users must ensure supply chains are free from forced labour. UrProject requires users to report suspicions and may terminate accounts for violations.
- VAT and Invoicing. Users must comply with the Value Added Tax Act 1994, including correct VAT charging, reverse charge mechanisms for construction services, and timely invoicing. Companies must issue VAT invoices within 30 days. UrProject does not process VAT and disclaims liability for errors.
- Insurance Obligations. Companies must hold employers' liability insurance (minimum £5 million under the Employers' Liability (Compulsory Insurance) Act 1969) and public liability insurance. Workforce users should maintain personal accident or professional indemnity cover. UrProject does not verify insurance and is not liable for uninsured losses.
- General Provisions. UrProject provides tools to support compliance (e.g., audit logs) but does not assume legal responsibility for compliance outcomes or provide advice. Users must seek independent legal, tax, or professional advice. Breach of compliance obligations may lead to account suspension, termination, or reporting to authorities. You indemnify UrProject against any claims, fines, or losses arising from your non-compliance. UrProject may update this section to reflect legal changes, with notice provided.
Payments and Financial Matters
UrProject does not guarantee payment, timing, or settlement of funds unless explicitly stated in a separate written agreement.
Any financial services provided through third-party partners (e.g., payment processors) are governed by those partners' terms, and UrProject disclaims liability for their actions. Users must handle all financial transactions directly.
Acceptable Use
You agree not to:
- Misuse the platform (e.g., harassment, abuse, or threats)
- Circumvent platform processes
- Harvest data without permission
- Misrepresent identity or qualifications
- Use UrProject for unlawful purposes (e.g., sharing confidential site data or unauthorised site access)
- Engage in spamming, phishing, or infringing intellectual property rights
UrProject reserves the right to investigate and take action against misuse, including reporting to authorities. Violations may lead to immediate termination without refund.
Intellectual Property
All platform content, software, designs, trademarks, and intellectual property belong to UrProject Ltd.
Users retain ownership of their personal content but grant UrProject a worldwide, perpetual, royalty-free licence to use, store, and display that content for platform operation, improvement, and legal compliance. This includes anonymised data for analytics and product development. Users must not upload content that infringes third-party rights, and UrProject may remove such content.
Limitation of Liability
To the fullest extent permitted by law, UrProject shall not be liable for:
- Loss of income or opportunity
- Disputes between users
- On-site incidents
- Business interruption
- Indirect or consequential losses
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law (e.g., Consumer Rights Act 2015). Use of the platform is at your own risk. Total liability is limited to fees paid in the last 12 months.
Termination
You may close your account at any time, with data export available upon request. UrProject may suspend or terminate access with notice (where feasible) for breach of these Terms, legal risk, or misuse of the platform. Post-termination, records may be retained as per our Privacy Policy. Certain clauses (e.g., IP licences, indemnity, limitation of liability) survive termination. Upon termination, all rights granted cease.
Dispute Resolution
Any disputes arising from these Terms will first attempt resolution via good-faith negotiation. If unresolved, parties may refer to mediation (e.g., via CEDR) before courts. Failing that, exclusive jurisdiction lies with the courts of England and Wales. Users waive class action rights.
Indemnity
You agree to indemnify UrProject against claims arising from your misuse of the platform or breach of these Terms, including reasonable legal fees.
Miscellaneous
These Terms constitute the entire agreement and incorporate our Privacy Policy by reference. If any provision is invalid, the remainder remains enforceable. No waiver implies future waivers. These Terms do not create any agency or partnership.
Amendments
We may amend these Terms with at least 30 days' notice for material changes, provided via email or in-platform. Continued use after the effective date constitutes acceptance.
Governing Law
These Terms are governed by the laws of England and Wales.
